Intent to Use

This non-binding letter of intent (“LOI”) is made by and between hiVolume Media Company, Inc. (“hVMC”) and _____________________ (“Venue/Company/Individual”) (collectively, the “Parties”) and sets forth the general terms and conditions of the Parties with respect to the potential transaction described herein. The Parties do not intend to be bound by the terms outlined in this LOI until they enter into a formal contract.
Terms – The basic terms of the agreement the Parties contemplate entering into are as follows:The Parties agree to enter into a formal contract within 60 days of their signing this LOI.The initial time period for the contract is twelve (12) months.hVMC agrees to provide one (1) marketing kit to Venue once the formal contract is executed.hVMC agrees to lease a karaoQ kiosQ to Venue once formal contract is executed, when and if Venue requests to have the kiosk, at a cost of $50/month per kiosk.Venue agrees to pay $50.00 for each additional marketing kit beyond the initial marketing kit hVMC provides at the onset of the formal contract.The Parties agree that hVMC will receive a 25% fee for each monetary transaction initiated via the karaoQ app. These in-app monetary transactions include, but are not limited to drink sales, tickets, paid promotions, contests, mobile tips to DJ, mobile bumps, such as moving up in the queue — e.g. pay-to-skip, and pay-to-sing cover charge.hVMC agrees to pay the monetary transactions’ processing fees out of the 25% fees it receives.Venue agrees to provide PayPal account or ACH information to hiVolume’s preferred merchant BrainTree Payments (a PayPal company). BrainTree Payments will process and provide 75% of all mobile transaction payments received directly to Venue’s PayPal account within 3-5 days, to allow sufficient time for processing. Venue’s split will not be held in escrow or in any internal account belonging to hVMC.Venue will allow hVMC to market/advertise/promote the Venue or its mobile karaoke setup via the hiVolume Media Company, Inc. umbrella, including karaoQ, the karaoQ mobile app, website, or via social networks.Venue agrees to display some or all of the karaoQ promotional material, e.g., table-toppers, DJ booth signage, window/door vinyl decals, karaoQ songbook prop, for a minimum of twelve (12) months, pursuant to terms the Parties agree upon in the formal contract.As a part of entering into the formal contract, the Venue will be required to sign and comply with hVMC’s Confidentiality/Nondisclosure Provisions.If the foregoing terms and conditions are acceptable to you, please indicate by initialing each page and signing the enclosed copy of this letter and returning it to my attention at hiVolume Media Company.
